Lokalise User and Trial Access Terms of Service

Effective Date: September 2025

These Terms of Service (“Terms”) govern your access to and use of Lokalise’s Services as (a) an Authorized User of a Customer, or (b) a Trial User accessing the Services for evaluation purposes. By accessing or using the Services, you agree to be bound by these Terms.

These Terms form a binding agreement between you and Lokalise, Inc., a Delaware corporation (“Lokalise,” “we,” or “us”).

1. Definitions

Capitalized terms used but not defined in these Terms have the meaning given in Lokalise’s Master Service Agreement (“MSA”), unless the context requires otherwise. In these Terms:

  • “Customer” means the entity or individual that has entered into a binding agreement with Lokalise for the use of the Services.
  • “Authorized User” means an individual who is authorized by a Customer to access the Services on its behalf.
  • “Trial User” means an individual accessing the Services without a paid subscription for the purpose of evaluation or testing during a defined trial period.
  • “You” and “User” refer to you in your capacity as either an Authorized User or Trial User.
  • “Services” means the cloud-based translation and localization services made available by Lokalise, including associated software, APIs, and documentation.

2. Scope of Use

2.1 Authorized Users

If you are an Authorized User, your use of the Services is subject to:

  • These Terms;
  • The rights and limitations imposed by the applicable Customer agreement;
  • The Customer’s instructions and policies.

You acknowledge that Customer controls your access and may modify or revoke your access at any time.

2.2 Trial Users

If you are a Trial User:

  • Lokalise grants you a non-exclusive, non-transferable, revocable, limited right to access and use the Services solely for internal evaluation purposes;
  • Your access is time-limited and may be subject to feature restrictions;
  • Lokalise may suspend, limit, or terminate your trial access at any time in its sole discretion.

Trial use is provided “AS IS” and without warranties or support, and no service levels apply.

3. User Obligations

You agree to:

  • Use the Services only for lawful purposes and in accordance with these Terms and all applicable laws;
  • Maintain the confidentiality of your login credentials and not share access with others;
  • Not (a) copy, modify, or create derivative works of the Services; (b) reverse engineer or decompile the Services; (c) use the Services to infringe any rights or disrupt any systems; or (d) upload harmful or unlawful content.

You further agree to comply with Lokalise’s Acceptable Use Policy, which is incorporated by reference.

4. Content and Data

4.1 Ownership

All data and content submitted by you in your use of the Services (“User Content”) is and remains:

  • For Authorized Users: the sole property of the Customer;
  • For Trial Users: owned by you, subject to Lokalise’s rights under Section 4.2.

4.2 Rights and Processing

You grant Lokalise a non-exclusive license to host, store, process, and display User Content for the purpose of providing the Services. You represent and warrant that you have all necessary rights to submit the User Content and that it does not infringe the rights of any third party.

Lokalise may delete User Content upon the expiration or termination of your access.

5. Privacy and Security

Lokalise processes personal data in accordance with its Privacy Policy. You acknowledge and agree that:

  • Lokalise collects and processes technical and usage data for account security, support, and service improvement;
  • For Authorized Users, personal data may be processed under the direction and control of the Customer, who acts as the data controller;
  • For Trial Users, Lokalise is the data controller.

For data subject requests, please contact either Lokalise or the applicable Customer, as appropriate.

6. Use of AI Features

Your access to and use of any artificial intelligence or machine learning functionalities made available within the Services (“AI Features”) is governed by Annex C (the “AI Addendum”), unless you or the applicable Customer have entered into a separate written agreement with Lokalise that expressly governs the use of AI Features, in which case such agreement will prevail.

You agree to:

(a) use AI Features only in accordance with the AI Addendum or other governing agreement, as applicable;

(b) comply with all applicable laws, usage restrictions, and policies referenced in the AI Addendum; and

(c) not use AI Features for any purpose prohibited under these Terms or the AI Addendum

7. Suspension and Termination

Your access to the Services may be suspended or terminated:

  • At the request of the Customer or according to Acceptable Use Policy (if you are an Authorized User);
  • Upon expiration of the trial period (if you are a Trial User);
  • If you breach these Terms or pose a security or legal risk to Lokalise or others;
  • If required by law or regulation.

Upon termination, your right to access and use the Services will immediately cease, and Lokalise may delete your User Content without further obligation.

8. Intellectual Property

All intellectual property rights in and to the Services are owned by Lokalise or its licensors. Except as expressly provided herein, these Terms do not grant you any right, title, or interest in or to the Services or related intellectual property.

9. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.
LOKALISE SPECIFICALLY DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

  • Without limiting the foregoing, Lokalise makes no warranties regarding:
  • The accuracy or completeness of any content;
  • The reliability or availability of the Services;
  • The outcome or results of any use of the Services.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL LOKALISE BE LIABLE TO YOU FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL LOKALISE’S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS EXCEED 50 DOLLARS (USD $50).

11. Modifications

Lokalise may update or modify these Terms at any time in its sole discretion. Changes will be effective upon posting the revised Terms to the Lokalise website. Your continued use of the Services after such posting constitutes your acceptance of the changes.

12. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles. Any disputes arising under or in connection with these Terms shall be brought exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of such courts.
